Market Research Services Agreement

31. In accordance with international market and social research standards, the results of questions relating to the public`s voting intention are published only if these results are based on a representative sample of 1,000 or more respondents. 33. Product Testing: In the event that Ipsos requires respondents, for the purposes of research, to review, test or use products or services, customer shall ipsos exempt from any act or claim relating to liability, loss, damage, costs or expenses related to such investigation, audit or use of such products or services. 26. The customer must ensure that Ipsos for all search results published as “a survey/research conducted by Ipsos for … (customer) ». Scope: IE Market Research Corp. IE Market Research Corp. will do its best to respond quickly and efficiently to customer requirements. The contract is limited to the work specified in IE Market Research Corp.`s proposal.

Extensions of the scope of the contract are subject to the agreement of the client and IE Market Research Corp. If the customer requires additional work, a reasonable additional fee must be paid by the customer to IE Market Research Corp. Consulting work may experience unforeseen delays and depends, to some extent, on factors that are not under the control of IE Market Research Corp. If IE Market Research Corp. is prevented from fulfilling its obligations for reasons beyond its control, it is entitled to a reasonable extension of time for the performance of the work. 22. Notwithstanding the foregoing, to the provided that the Agreement provides that the Research includes syndicated research services and/or that all outputs include syndicated research reports (“Syndicated Research Results”),: (i) Ipsos retains at all times the exclusive and exclusive rights of ownership of the syndicated research results as well as all IP IPPs; (ii) Customer may not sell, distribute, copy or reproduce the syndicated research results without Ipsos` permission, which Ipsos may retain in its own discretion; and (iii) this Agreement constitutes a revocable, non-exclusive license by Ipsos to Customer to use the Syndicated Research Results exclusively for internal purposes, subject to Ipsos` proprietary rights set forth therein. 19. Notwithstanding the foregoing, Customer acknowledges and agrees that certain surveys may require Ipsos to disclose, disclose, disclose or describe Customer`s confidential information, including but not limited to new concepts, products, services, advertising campaigns or designs (“Conceptual Testing”). The customer thus waives any claim resulting from or in connection with the disclosure of confidential customer information by Ipsos to the respondents in the context of the test concept and who release them.

Use of reports and recommendations The provision of advisory services by IE Market Research Corp. includes a report presenting the results, conclusions and recommendations. Such a report shall be prepared by IE Market Research for distribution or dissemination to the parties, as agreed in the proposal. Accordingly, these reports may not be reproduced or used for any other purpose without the written permission of IE Market Research Corp. IE Marktforschung Corp. assumes no responsibility or liability for any losses incurred against the customer or other parties as a result of the dissemination, publication or reproduction of the content of these reports, contrary to the provisions of this paragraph . . .
